Agreement to Terms

Welcome to Nube Agency LLC's Terms of Service (these "Terms"). By accessing or using our website and services (collectively, our "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms. If you disagree with any part of these Terms, you must not use our Services.

Service Description and Eligibility

Our Services include, but are not limited to, website strategy, design, and Webflow development delivered through project sprints, ongoing retainer partnerships, and pre-paid execution packages. To access and use our Services, you must be at least 18 years of age. By using our Services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

User Commitments and Representations

By using our Services, you confirm that:

• All information provided during registration is accurate and complete
• You will maintain the security of your account credentials
• You meet the minimum age requirement of 18 years
• Your use of our Services complies with all applicable laws and regulations
• You have necessary permissions if acting on behalf of a business entity

Intellectual Property Rights

All content on our website, including but not limited to text, graphics, logos, images, software, and code ("Nube Agency LLC Content"), is the property of Nube Agency LLC and is protected by copyright and other intellectual property laws. Our trademarks may not be used without explicit written permission, including in domain names or marketing materials.

Limited License

Nube Agency LLC grants you a limited, non-exclusive license to access and use our Services for their intended purposes. This license does not include the right to:

• Modify or copy our materials
• Use our content for commercial purposes
• Attempt to decompile or reverse engineer our software
• Remove any copyright or proprietary notices

No Refund Policy

Due to the nature of our services and resources allocated to each phase, deposits are non-refundable. For sprint projects, if cancellation occurs mid-project, fees for completed phases are non-refundable. Refunds for incomplete phases may be considered on a case-by-case basis at Nube Agency LLC's discretion.

Prohibited Activities

Users must refrain from:

• Attempting to compromise our system security
• Engaging in any illegal activities through our platform
• Distributing harmful content or malware
• Attempting unauthorized access to restricted areas
• Sharing account credentials without permission
• Violating intellectual property rights
• Conducting activities that could damage our services or reputation

Project Deliverables & Ownership

Upon full payment, clients receive full ownership of all final deliverables including design files, Webflow site, and documentation. Work-in-progress materials remain property of Nube Agency LLC until final payment is received.

Portfolio & Testimonial Rights

Unless otherwise agreed in writing, Nube Agency LLC reserves the right to display completed work in our portfolio, case studies, and marketing materials. Client logos may be used in 'clients we've worked with' sections. Clients may request exclusion from portfolio display at any time.

Client Responsibilities

Clients are responsible for providing timely feedback, assets, and approvals as outlined in project timelines. Delays caused by client response times may extend project timelines without additional cost to Nube Agency LLC.

Payment Terms

Sprint projects require a 50% deposit before work begins, with the remaining balance due upon completion. Retainer partnerships are billed monthly in advance. Invoices are due within 14 days of issue. Late payments may result in paused work until the balance is resolved.

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This includes business strategies, analytics, internal processes, and any materials marked as confidential.

Updates and Modifications

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our Services after any modifications indicates your acceptance of the updated Terms.

Disclaimer of Warranties

Our Services are provided "as is" and "as available." Nube Agency LLC makes no warranties, express or implied, regarding the reliability, accuracy, or availability of our Services. We do not guarantee that our Services will be uninterrupted or error-free.

Limitation of Liability

To the maximum extent permitted by law, Nube Agency LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use our Services.

Indemnification

You agree to indemnify and hold harmless Nube Agency LLC, its employees, directors, and affiliates from any claims, damages, or expenses arising from your use of our Services or violation of these Terms.

Third-Party Content and Services

Links to third-party websites or services are provided for convenience only. Nube Agency LLC is not responsible for any third-party content, websites, or services linked to or referenced through our Services.

Force Majeure

Nube Agency LLC shall not be liable for any failure to perform due to causes beyond its reasonable control, including but not limited to acts of God, war, pandemic, or significant internet disruption.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflicts of law principles.
